1. Introduction and Contractual Capacity
1.1 This website, www.teachablemachine.co.za (“the Site”), and the associated SaaS and educational services are owned and operated by Teachable Machine (PTY) LTD (Registration Number: 2024/306054/07).
1.2 By accessing the Site, the User (whether a corporate entity or a natural person) agrees to be bound by these Terms.
1.3 In accordance with the Electronic Communications and Transactions Act (ECTA) 25 of 2002, these Terms constitute a valid and binding “click-wrap” agreement.
2. Mandatory Statutory Disclosures (Section 43 of ECTA)
For the purposes of the ECTA, the Provider’s information is as follows:

3. Nature of Service and Subscriptions
3.1 SaaS and Education: The platform provides a Software-as-a-Service (SaaS) environment for training machine learning models and an educational portal for course material.
3.2 Payments: All fees are quoted in South African Rand (ZAR). Payment obligations arise upon the selection of a premium tier. Access is granted on a subscription basis, not a perpetual license.
3.3 Consumer Protection: For B2C transactions, the User’s rights to a “cooling-off period” under Section 44 of ECTA apply, unless the services have been fully performed or are digital content accessed immediately.
4. Intellectual Property and Data Ownership
4.1 User Ownership: The User retains full ownership and all Intellectual Property (IP) rights in and to any datasets, images, code, or assets (“User Assets”) uploaded to the platform.
4.2 Limited Processing License: To enable the service, the User grants Teachable Machine (PTY) LTD a non-exclusive, royalty-free license to host and process User Assets. This license is strictly limited to the technical requirements of training the models and delivering the service to the User.
4.3 Platform IP: All proprietary algorithms, the “Teachable Machine” brand, and educational content remain the exclusive property of Teachable Machine (PTY) LTD. No “work-for-hire” arrangement is created unless explicitly agreed to in a separate written addendum.
5. Protection of Personal Information (POPIA) & AI Ethics
5.1 Lawful Basis: The Provider processes personal information in accordance with the Protection of Personal Information Act (POPIA) 4 of 2013.
5.2 2026 Direct Marketing Compliance: In accordance with the 2026 CPA Amendment Regulations, the Provider will not engage in direct marketing to any User registered on the National Opt-Out Registry. Users may opt out of any marketing communication at any time via the “unsubscribe” link.
5.3 AI Governance: Users agree to utilize the machine learning tools in accordance with the 2026 National AI Policy, ensuring that models are not trained for illegal, discriminatory, or harmful purposes.
6. Limitation of Liability and Indemnity
6.1 The Provider provides the platform “as is” and “as available”. To the maximum extent permitted by the Consumer Protection Act (CPA) 68 of 2008, Teachable Machine (PTY) LTD shall not be liable for any direct, indirect, or consequential damages resulting from inaccuracies in machine learning outputs or service interruptions.
6.2 The User indemnifies the Provider against any legal action, claims, or losses arising from the User’s use of data that infringes on third-party intellectual property or privacy rights.
7. Breach and Termination
7.1 Should either party breach these Terms, the aggrieved party shall provide the defaulting party with 7 (seven) days’ written notice to rectify the breach.
7.2 The Provider reserves the right to suspend or terminate accounts immediately if the User’s content or conduct poses a security threat or violates the laws of the Republic of South Africa.
8. Governing Law and Jurisdiction
8.1 These Terms are governed by and construed in accordance with the laws of the Republic of South Africa.
8.2 Both parties submit to the non-exclusive jurisdiction of the High Court of South Africa.
